WYAT Terms and Conditions

1. Acceptance of Terms

Welcome to WYAT.

These Terms and Conditions (“Terms”) govern your access to and use of the WYAT website, mobile applications, and related services (collectively, the “Platform”).

By creating an account, accessing, or using WYAT, you agree to be bound by these Terms. If you do not agree, you may not use the Platform.

2. Definitions

  • WYAT, we, our, us refers to the Platform and its operators.
  • User means any person who accesses or uses the Platform.
  • Organizer means any individual, business, organization, or entity that creates, manages, or promotes Events through WYAT.
  • Event means any activity, gathering, performance, experience, or occasion listed on the Platform.
  • Ticket means a digital authorization granting access to an Event.

3. Eligibility

To use WYAT, you must:

  • Be at least 18 years old.
  • Have the legal capacity to enter into binding agreements under Kenyan law.
  • Provide accurate registration information.

WYAT restricts access to adults only — this is not a general-audience platform, and event discovery/nightlife content on the Platform is not appropriate for minors. WYAT reserves the right to suspend or terminate accounts that violate this requirement, including where we later determine an account was created by someone under 18.

4. User Accounts

You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity conducted under your account
  • Keeping your account information accurate and current

You agree not to:

  • Share your account with others
  • Create fraudulent accounts
  • Impersonate another individual or organization
  • Circumvent Platform security measures

WYAT reserves the right to suspend or terminate accounts for violations of these Terms.

5. Event Listings

WYAT provides a technology platform enabling Organizers to create, manage, and promote Events. Unless expressly stated otherwise, WYAT is not the organizer, promoter, sponsor, or operator of Events listed on the Platform.

Organizers are solely responsible for event accuracy, operations, safety, legal compliance, and communications with attendees. WYAT does not guarantee the accuracy of information Organizers provide.

6. Ticket Purchases

Tickets purchased through WYAT grant access to the Event specified. All prices on the Platform are in Kenyan Shillings (KES) unless explicitly stated otherwise.

You are responsible for reviewing event descriptions, dates, times, locations, pricing, and refund policies before purchasing. All purchases are subject to availability. A Ticket is valid only if issued through WYAT's own systems.

7. Ticket Verification and Entry

WYAT uses QR codes, ticket identifiers, and verification technology to validate Tickets. You may be required to present your digital ticket, a verification code, or government-issued identification where legally required by the venue or Organizer.

Entry may be denied if a Ticket is invalid, already used, associated with suspected fraud, or if Event rules have been violated.

8. Refunds and Cancellations

Organizer responsibility.Refund policies are set by Organizers unless stated otherwise. WYAT operates the ticketing technology and is not responsible for an Organizer's refund decisions.

Event cancellation.If an Event is cancelled, refunds are issued according to the Organizer's refund policy and applicable Kenyan consumer protection law, including the Consumer Protection Act, 2012.

Event postponement. If an Event is postponed or rescheduled, Tickets generally remain valid for the new date unless the Organizer states otherwise.

Platform fees. Service and processing fees are non-refundable unless required by law.

9. User Conduct

You agree not to:

  • Violate applicable Kenyan law, including the Computer Misuse and Cybercrimes Act, 2018
  • Harass or abuse other users
  • Engage in fraud or deceptive practices
  • Distribute malware or harmful code
  • Interfere with Platform operations
  • Access systems or data without authorization
  • Use automated tools to scrape Platform data without permission

Violations may result in suspension or termination.

10. Community Standards

You must not post content that is unlawful, promotes violence, contains hate speech, infringes intellectual property rights, harasses or targets individuals, or contains malicious software. WYAT reserves the right to remove content or accounts that violate community standards.

11. User Content

Users retain ownership of content submitted to the Platform. By posting content, you grant WYAT a non-exclusive, worldwide, royalty-free license to host, display, distribute, reproduce, and process it for operating, improving, and promoting the Platform. You remain solely responsible for content you submit.

12. Organizer Obligations

Organizers agree to:

  • Provide accurate Event information
  • Comply with applicable Kenyan laws and obtain required permits and licenses
  • Deliver Events as advertised
  • Honor refund commitments

Organizers do not receive attendee personal data through the Platform beyond aggregate analytics (ticket sales, attendance counts, revenue) and, at check-in, momentary sight of a ticket holder's name to confirm entry (see the Privacy Policy, Section 9). Organizers may not attempt to collect attendee personal data through the Platform beyond what WYAT itself provides.

Organizers are solely responsible for Event execution and attendee safety.

13. Fees and Payments

WYAT may charge ticketing fees, service fees, Organizer fees, and (in future) subscription fees, all denominated in KES. Applicable fees are disclosed before payment is completed. WYAT reserves the right to modify fees with reasonable notice.

13A. Organizer Funds and Event Responsibility

WYAT provides technology and payment facilitation services enabling Organizers to sell tickets and manage Events. Unless expressly stated otherwise, WYAT is not the organizer, promoter, host, sponsor, or operator of any Event.

Organizers are solely responsible for delivering Events as advertised, complying with applicable laws, managing operations, obtaining permits, communicating updates, and honoring refunds.

While WYAT facilitates the collection and transfer of ticket revenue, WYAT does not guarantee the financial performance, legality, quality, safety, or successful execution of any Event. Ticket purchases are transactions between attendees and Organizers.

To the maximum extent permitted by Kenyan law, WYAT is not liable for losses arising from Event cancellations, postponements, venue changes, Organizer misconduct, failure to deliver an Event, failure to issue refunds, or Organizer insolvency.

WYAT reserves the right to investigate complaints, suspend Organizer accounts, withhold payouts, and take actions necessary to protect users and the Platform.

13B. Organizer Payout Holds, Reviews, and Fraud Prevention

WYAT may review, delay, withhold, reverse, or suspend Organizer payouts where necessary to protect attendees, Organizers, payment providers, and the Platform — including cases of suspected fraud, unusual sales activity, excessive refunds, chargebacks, policy violations, legal concerns, event legitimacy concerns, or security risks.

WYAT may require government-issued identification, business registration documents, tax documentation, venue confirmation, event permits, or additional verification. Failure to provide these may result in delayed payouts, restrictions, suspension, or termination.

WYAT may establish payout schedules, reserve balances, or temporary holds where reasonably necessary, and is not liable for losses resulting from fraud investigations, verification reviews, or payout delays.

13C. Chargebacks and Payment Disputes

If a transaction is disputed, reversed, charged back, or challenged through a bank, payment processor, mobile money provider (including M-Pesa), or financial institution, WYAT may investigate and take appropriate action.

Organizers may be responsible for chargebacks, refunds, payment processing penalties, investigation costs, and financial losses arising from Events they organize. WYAT may deduct such amounts from pending or future payouts, reserve balances, or other amounts owed to the Organizer. Where balances are insufficient, Organizers remain responsible for reimbursing WYAT and agree to cooperate fully with dispute investigations.

14. Intellectual Property

All Platform software, branding, trademarks, logos, designs, content, and technology are owned by WYAT or its licensors. You may not copy Platform software, reverse engineer Platform systems, use WYAT branding without permission, or reproduce proprietary content for commercial purposes.

15. Privacy

Use of the Platform is also governed by the WYAT Privacy Policy. By using the Platform, you consent to the collection and processing of information as described there.

16. Platform Availability

WYAT strives for reliable service but does not guarantee uninterrupted access. Interruptions may occur due to maintenance, technical failures, security incidents, third-party outages, or circumstances beyond our control. WYAT is not liable for losses from temporary interruptions.

17. Limitation of Liability

To the maximum extent permitted by Kenyan law, WYAT is not liable for Event cancellations, Organizer misconduct, venue issues, personal injuries, property damage, lost profits, indirect damages, user-generated content, or third-party services. Users attend Events at their own risk.

18. Indemnification

You agree to defend, indemnify, and hold harmless WYAT, its affiliates, officers, employees, and partners from claims, liabilities, damages, losses, and expenses arising from your use of the Platform, violations of these Terms or applicable law, your user-generated content, or Events you organize.

19. Account Suspension and Termination

WYAT may suspend, restrict, or terminate accounts where these Terms are violated, fraud is suspected, security risks arise, or legal obligations require action. Termination may occur without notice where reasonably necessary.

20. Modifications to the Platform

WYAT may modify, suspend, discontinue, add, or remove features and services at any time without liability.

21. Governing Law

These Terms are governed by and interpreted under the laws of the Republic of Kenya. Any disputes are subject to the exclusive jurisdiction of Kenyan courts.

22. Dispute Resolution

Before initiating legal proceedings, you agree to contact WYAT and attempt to resolve disputes in good faith. Both parties will make reasonable efforts to resolve disputes amicably before pursuing formal legal remedies.

23. Changes to These Terms

WYAT may update these Terms from time to time. Material changes will be communicated through the Platform, email, or other appropriate means. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.
